The Business Startup Tool will help you to get your business started in Connecticut on the right footing, using an online tool that leads you easily through all the steps.
If you operate an existing foreign entity that is formed under the laws of another jurisdiction, you can also use the Business Startup Tool to register your Certificate of Authority. The Business Startup Tool is brought to you by Secretary of the State Denise W. Merrill.

Please note that the Secretary of the State is presently working to develop the capacity for customers to e-file entity formation forms. Until then, the Business Startup Tool will link users to the forms necessary to successfully organize a business, where the forms can be downloaded and filed by mail. You can return to the Business Startup Tool any time after your entity is formed in order to take advantage of the links to other helpful agencies and programs.

Disclaimer: Please note a name must be distinguishable upon the record of the Secretary of the State of Connecticut from any other existing name. If a name already exists you must choose a different name. This search does not guarantee that the name will be available at the time you actually register your business.

Please select the business entity type you would like to organize. The links below will provide the proper form to file for each respective entity type. The appropriate form will need to be downloaded, completed and then filed with the Secretary of the State. Please note that Sole Proprietorships and General Partnerships generally are not required to register as business entities with the Secretary of the State. Trade names ("d/b/a's") are registered at the local/municipal clerk's office and not with the Secretary.

 Do I Need a License or Permit to Operate? 
 
The Connecticut Department of Consumer Protection (DCP) issues Occupation and Trade Licenses. (860) 713-6100
The Connecticut Department of Energy and Environmental Protection (DEEP) issues permits for conducting certain types of activity in the state. (860) 270-8013
The Business Response Center (BRC) at the Connecticut Economic Resource Center (CERC) directs businesses to the appropriate agencies to ensure they are properly registered, licensed or permitted within the state.

Contact the Department of Labor to determine whether your business is required to file with the Department of Labor. Note that many small businesses may not be required to file with the Department of Labor.

Note that businesses in Connecticut are required to post certain notices for employees in an open, visible area. Be sure to contact DOL for further details. Also, you may contact the WorkerS' Compensation Commission here to inquire about the mandatory Workers' Compensation notice poster that must be displayed.

Looking to register a Business Trademark?

Complete the form and submit corresponding Trademark specimen to Secretary of the State.
Please read the instructions page at the bottom of the form and send the completed form to the mailing address shown below.
Note: Registering a Trademark with the state does not provide all the protections that a federally registered trademark affords. You may wish to also consider registering your trademark with the US Patent & Trademark Office (USPTO).
 

Need a Certificate of Legal Existence?

A Certificate of Legal Existence (sometimes called a Certificate of Good Standing) can be easily obtained from the Secretary of the State's Online Filing homepage. This certificate will be required to open a bank account, register for utility services and other commercial uses.

Note: A Certificate of Legal Existence can only be issued for an existing entity. You can return to this page and request a Certificate after your business formation or registration is accepted.

Recognize Your Duties Under the Law
 
 
Do not forget that you will need to file Annual Reports with the Secretary of the State every year. Filing must be completed online and can be accomplished easily at www.concord-sots.ct.gov.
If you decide to discontinue transacting in Connecticut at any point in the future, you are required by statute to file a terminating form with this agency to notify the Secretary of your changed status. The appropriate Dissolution, Cancellation or Withdrawal form can be filed easily online at www.concord-sots.ct.gov. Failure to file the appropriate terminating form will subject the entity and its owner(s) to continuing Business Entity Tax liability and other potential issues.
