CONCORD Home Page:
 

 

The CONCORD Home Page, as illustrated below, will appear after the user successfully accesses the system by typing in the URL
WWW.CONCORD-SOTS.CT.GOV/CONCORD.  This page will display a welcome message and other appropriate information that relates to the Commercial Recording Division.  From this page you may select several options: 

  • File Annual Reports

  • Forms
  • Fees
 

 

         
 

The Forms Menu section of the CONCORD home page provides access to the online forms as listed below in Adobe Acrobat format (PDF). You may print and complete the forms for filing with the State of Connecticut.

The system is designed to have the same look and feel as most Windows based applications and web sites. Anywhere in the system you can return to the CONCORD home page by clicking the Home Icon located at the top of the page

 

The Inquiries section of the main menu is described as follows:

 

Inquiries

 

The Inquiries submenu located on the Main Menu allows you to perform a business inquiry and/or a uniform commercial code (UCC) inquiry by clicking on the applicable link:

 

       Business

       UCC

 

You may also click on the Help link located on the Inquiries submenu to access the online help facility, which provides explanations of the fields and functions of each of the inquiry screens. 

 
Business Inquiry:
 

The Business Inquiry search screen, as illustrated below, is accessed by clicking on the Business link in the Inquiries submenu on the Main Menu.  The Business Inquiry search screen’s function is to search the CONCORD database for the business.

The “number of records per page” returned by the search defaults to 25.  If you have a high resolution monitor, you might want to select a higher number from the dropdown box.
 
 

 

The business inquiry capability allows you to search for a business in three ways:

Option

Description

Search By Name:

100 character alphanumeric.  A list of companies matching the name you enter is displayed.  You may enter the first few characters of the business name followed by an asterisk to conduct a wild card search.

Search By Business ID:

7 character numeric.  The business with matching Business ID is displayed.

Search By Filing Number:

10 character alphanumeric.  The business to which the filing applies is displayed.

                                                                                 

To start a search, type in the applicable information in the selected field.

 

Click on the ‘Reset’ button clears your input.

Click on the ‘Search’ button initiates the search.

                       

You might wonder why a search on AIG R* returned Pine Street Real Estate Holdings Corp.  It is because that company’s former name was AIG Realty, Inc.

 

This screen will display results matching the selected criteria.  The information contained on this screen is explained below:

Field

Description

Business Name

The name of the business.

Business ID

The assigned business ID.

Status

The status of the selected business.

Address

The address of the business.

 

If the business name is underlined, you may click on it to display three groups of information about the business:

 

       Business Details

       Principals

       Business Summary.

 

The result appears below:

                         

Business Details

 

The Business Details section provides the following information about the named company.

Field

Description

Business Name

The name of the business.

Business ID

The business identifier assigned by the system.

Business Address

The address of the business.

Mailing Address

The mailing address of the.

Citizenship/State Inc.

Citizenship – Domestic or Foreign.

Place of Formation (State or Country).

Last Report Year

The year of the last report filed.

Business Type

For corporations, Stock or Non-stock.

Various descriptions for other businesses.

Business Status

 The status of the business.

       Active

       Cancelled

       Consolidation

       Converted

       Dissolved

       Expired Reservation

       Expired

       Forfeited

       Merged

       Reserved Cancelled

       Redomesticated

       Registered

       Renunciated

       Reserved

       Revoked

       W Second

       Withdrawn

Date Incorporated/Registered

The date the business was incorporated / registered in the State of Connecticut.

 

Principals

 

The Principals section provides the following information:

Field

Description

Name

The full name and title of up to three principals of the company.

NOTE: If there are more than one principal for an organization, they will be listed in the order they were input into the CONCORD system.

Business Address

The business address of the location at which the principal works.

Resident Address

The addresses at which the principal resides.

View All Principals

A button used to display additional principals of the business. This button is visible only if there are more than three principals for the business.

 

 

If a business that has more than three principals, you may view all the principals by clicking on the View All Principals button, which will open the following screen:

 

Click on the ‘Back’ button returns you to the Business Details screen.

Business Summary

 

The Business Summary section provides the following information about the business.

Field

Description

Agent Name

The full name of the business’s Agent.

Agent Business Address

The office address of the agent.

Agent Residence Address

The address where the agent resides.

View Name History

A button used to display a screen containing information on the name history of the company. 

View Filing History

A button used to display a screen containing information on the filing history of the company. 

View Shares

A button used to display information about the stock issued by the business, if any. 

 

           If you click on View Name History button, the following screen appears.  

     

The above screen shows the prior names of the business and the date and filing number of the filing that changed the name.

             Click on the ‘Back’ button returns you to the Business Details screen.

               

              If you click the View Shares button, the following screen appears.

     

 

Click on the ‘Back’ button returns you to the Business Details screen.

  

 If you click the View Filing History button, the following screen appears.

            

 

  

 

           The above screen shows the history of filings by the business.  The columns are explained below.

                Field

Description

Business ID:

The business identifier assigned by the system.

Business Name:

The name of the business.

Filing Number:

The identifier of the filing assigned by the system.

Filing Date/Time

The date and time that the filing was received by the office of the Secretary of the State. 

Effective Date/Time

The date and time that the filing took effect, if relevant to the type of filing. 

Filing Type

The list of filing types is lengthy.  Several appear in the example above. 

 

Alternative cases:  Depending on the type of filing, there may be links from filing history for    additional details.

 

       Mergers.

       Reservation of Business Name.

       Registration of Business Name.

       Renewal of Registration.

 

 

Mergers:   Following is an example of searching by Business Id that will lead us to the merger example.

 

Click on the ‘Search’ button brings you to the screen below.

 

       

Click on the link on business name leads to the example of a business that is the survivor of a merger:

 

Click on the View Filing History button leads to the following screen.

 

     

 

           Click on the link on MERGER causes the following screen to appear:

                             

 

The merger details for the above screen are explained below:

 

Merger Details:

Field

Description

Filing Number:

 The filing number of the merger transaction.

Filing Date/Time:

 The date/time when the filing of the merger was done.

Survivor Business ID:

 The ID of the business that survived the merge.

Survivor Business Name:

 The name of the business that survived the merge.

 

                

 

Terminating Business Details:

                  Field

Description

Business ID:

 The ID of the business that merged with the Survivor business.

Business Name:

 The name of the business that merged with the Survivor business.

Date:

 The date of the merging .

                  

Reservation of Business Name:  Following is an example of inquiry by Filing Number to get us to a Reservation example.

 

Click on the ‘Search’ button leads to the following screen.

 

Click on the link on Business Name causes the following screen to appear.

 

The View Filing History button is replaced by a View Applicant Name button.  Click on the button causes the Filing History screen to appear, as shown below.

 

 

Click on the RESERVATION link causes the reservation details screen to appear, as shown below.

Reservation Details:

Field

Description

Business ID

The ID of the business that had filed the reservation.

Business Name

The name that was reserved for the business.

Applicant Name

The name of the person that had filed the reservation.

Expiration Date

The date when the reservation expires.

Address

The address of the business that had filed the reservation.

 

Registration of Business Name:

 

Following is an example of the Filing History screen for a business whose only filing is a registration of business name:

 

Click on the REGISTER NAME link cause the Registration Details to appear, as shown below:

Registration Details:

Field

Description

Business ID

The identifier of the business that filed the registration for their name.

Business Name

The name that was registered for the business.

Applicant Name

The name of the person that filed the registration.

Expiry Date

 The date when the registration expires.

Address

The address of the business that filed the registration.

 

 

  

 

Renewal of Registration.  Following is an example of a Filing History screen for a business that has renewed the registration of its name.

 

Click on the RENEW REGIST link causes the following screen to appear.

 

The fields are identical to those explained above for Registration of Business Name.
